Contractor Terms

These terms are between PraxysEHS LLC ("PraxysEHS," "we," "us") and a contractor company that uses PraxysEHS CM ("you"), along with the people you add to it. They cover the contractor side of PraxysEHS CM: your account, your workers, and what you share with the companies you work for. The companies that invite you ("customers") have their own agreement with us.

1. It's free

Contractors and their workers never pay to use PraxysEHS CM to work with our customers. There's no membership fee, renewal fee or charge per customer. Our customers pay for the service.

2. Your account and your people

  • You can create an account when a customer invites you. The person who accepts these terms must be allowed to do so for your company.
  • You can add your workers by name and cell phone number. Before you add someone, tell them you're doing it. If you give us their email address, they'll get emails from PraxysEHS CM.
  • Keep your company details, contacts and worker list up to date. Remove people who no longer work for you.
  • Keep sign-in links private. Anything done with your account or a worker's link is treated as done by you or that worker.

3. What you upload

  • Everything you or your workers upload, such as insurance certificates and training cards, must be real, current and about the right company or person.
  • Upload only what the work needs. Before you upload a card, cover anything the job doesn't need, like an ID number or date of birth.
  • You keep ownership of what you upload. You give us permission to store it, show it back to you, and provide it to the customers you share it with.

4. Sharing with customers

  • A customer sees only what you share with it, or what your workers add while working for it. When a new customer invites you, you choose which workers and records to share.
  • Once shared, the customer keeps its own copy as part of its records, including sign-ins, inductions and training card checks at its sites. Those records belong to the customer, and it may keep them as long as it needs to, which is usually at least five years.
  • When you replace a card or certificate you've shared, the customers who have it get the new one, so their copy doesn't go out of date.
  • We don't have a directory. No customer can search for you or see anything about you unless you work for it.

5. What PraxysEHS CM is, and isn't

  • We provide the software. We don't hire, approve, rate or recommend contractors. Each customer decides who works at its sites.
  • Site rules, inductions, required training cards and PPE are set by each customer. A lobby tablet holding someone at the door is applying the customer's rules.
  • We're not your employer, your workers' employer, or the customer's agent.
  • Safety at a customer's site remains the responsibility of the customer, you, and your workers, under your own agreements and the law.

6. Public record check

Some customers use an add-on that shows what free government records, such as OSHA inspections and state license lists, say about a contractor company. It covers companies, not people. You can see what customers see about your company for free, and tell us if something is wrong. While we look into it, customers see the item marked "under dispute." We'll answer within 30 days.

7. Rules everyone follows

  • Don't upload fake, altered or someone else's cards or certificates.
  • Sign in and out only as yourself. Never sign in for someone else at a lobby tablet.
  • Don't share a worker's link, or try to see information about other contractors or customers.
  • Don't interfere with the service or use it for anything unlawful.

If these rules are broken, we or the customer may suspend the account or the worker involved.

8. Links and emails

Each worker has a personal link. You share it with them however you choose; treat it like a key. If you give us a worker's email address, we send their link and reminders before cards run out there. Every reminder email has a way to turn reminders off.

9. Closing your account

You can close your account at any time from Account. We'll delete your account information within 90 days, except what's in backups until they age out. Copies a customer already has stay in that customer's records.

10. Disclaimers and limits

  • As is. PraxysEHS CM is provided "as is" and "as available." To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title and non-infringement. We work to keep it accurate and available, but we don't promise it will be error-free or always available.
  • Customers' decisions and sites. We're not responsible for a customer's decisions about who works at its sites, or for injury, illness, death or property damage arising from work, conditions or events at a customer's site or in work you perform, except to the extent caused by our gross negligence or willful misconduct.
  • Limits. Because the service is free for you, to the extent the law allows, we aren't liable for indirect, incidental, special, consequential or punitive damages, or lost profits, revenue or data, and our total liability to you for any claim about the service is limited to one hundred dollars ($100). These limits don't apply to liability that can't be limited by law.
  • Your responsibility. You'll defend us against third-party claims arising from false, altered or unauthorized documents you or your workers upload, from your breach of section 7, or from your use of the service in violation of law, and pay resulting damages and reasonable costs.

11. Changes, law and contact

  • Changes. We may update these terms. For material changes, we'll tell you at least 30 days before they take effect. Continuing to use the service after that means you accept the change; if you don't agree, you can close your account.
  • Law and disputes. These terms are governed by the laws of the State of Ohio, without regard to its conflict-of-laws rules. Disputes go only to the state courts in Montgomery County, Ohio, or the United States District Court for the Southern District of Ohio, Western Division at Dayton. Each party waives any right to a jury trial, and claims may be brought only individually, not as part of a class or representative action.
  • Notices. We'll send notices to your account's email address. You can send notices to support@praxysehs.com. You agree to receive notices and records electronically.
  • General. Neither of us is responsible for delays caused by events beyond its reasonable control. We may assign these terms to a successor in a merger, acquisition or sale of substantially all our assets. These terms are the entire agreement about the contractor side of the service; if a provision is unenforceable, the rest stays in effect, and not enforcing a provision isn't a waiver. The service is offered for work at sites in the United States.
